Terms of Service

These Terms govern your use of the PlugFile software and website (the "Service"), operated by PlugFile LLC, a Texas limited liability company ("PlugFile," "we," "us"). By using the Service you agree to these Terms on behalf of yourself and, if applicable, the company you represent.

The one thing to understand about PlugFile: the Service prepares regulatory filings — it does not submit them. You (the operator or your authorized representative) review every value, sign, and file with the Texas Railroad Commission. PlugFile is a preparation and checking tool, not an engineering firm, law firm, or filing agent, and its output is not engineering, legal, or regulatory advice.

1. The Service

PlugFile helps prepare Texas RRC well-plugging documentation (e.g., Forms W-3 and W-3A) by prefilling data from public RRC records, parsing documents you provide, checking values against published rules (e.g., 16 Tex. Admin. Code §3.14), and generating draft filing packages. Public records can be wrong or stale, document parsing can make mistakes, and rules change; the Service surfaces drafts and warnings for your review, and you are solely responsible for the accuracy and timeliness of anything you file.

2. Accounts

You are responsible for activity under your account and for keeping your sign-in method secure. You must provide accurate information and be authorized to act for the operator whose filings you prepare.

3. Fees

Current pricing is shown at purchase. Paid features are billed through our payment processor (Stripe). Except where required by law, fees are non-refundable once the corresponding output has been delivered; if something is wrong with our output, tell us and we will make it right or refund the affected charge.

4. Your data

You retain all rights to the data and documents you submit. You grant us a limited license to process them solely to provide the Service. Our data practices are described in the Privacy Policy.

5. Acceptable use

Don't misuse the Service: no unlawful use, no attempting to breach security or access other customers' data, no reselling the Service without our agreement, and no submitting information you don't have the right to use.

6. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by PlugFile LLC. Official form layouts belong to their issuing agencies.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLUGFILE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PLUGFILE DOES NOT WARRANT THAT ANY FILING PREPARED WITH THE SERVICE WILL BE ACCEPTED BY ANY REGULATOR.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) PLUGFILE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, FINES, PENALTIES, OR REGULATORY SANCTIONS; AND (b) PLUGFILE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You will defend and hold PlugFile harmless from claims arising out of filings you submit to any regulator, your breach of these Terms, or your violation of law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Sections 4 and 6–12 survive termination.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflicts of law. Exclusive venue for disputes is the state or federal courts located in Fort Bend County or Harris County, Texas.

12. Changes

We may update these Terms; material changes will be posted here with a new date and, for customers, notified by email. Continued use after changes take effect constitutes acceptance.
